CONSTITUTION and BY-LAWS


CONSTITUTION

ARTICLE I: NAME and OBJECT

Section 1. The name of the Club shall be The Pyrenean Mastiff Club of America, Incorporated (pending).

Section 2. The objects of the Club shall be: a) To encourage and promote and to advance and protect the breeding of purebred Pyrenean Mastiffs; b) To encourage the organization of independent local Pyrenean Mastiff specialty clubs, under the auspices of the PMCA, in those localities where there are sufficient fanciers of the breed. c) To assure that members and breeders accept the standard of the breed as approved by the PMCA as the ONLY standard of excellence by which Pyrenean Mastiffs shall be judged; d) To endorse the Code of Ethics and insure its usage; e) To maintain Breeding Regulations to protect the qualities of the breed; f) To do all in its power to protect and advance the interests of the breed and to encourage sportsmanlike competition at dog shows and obedience trials.

Section 3. The members of the Pyrenean Mastiff Club of America shall adopt and may from time to time revise such By-Laws as may be required to carry out these objects.


BY-LAWS

ARTICLE II: MEMBERSHIP

Section 1. Eligibility There shall be two (2) types of memberships: a) Full membership. i) Single membership, open to all persons eighteen (18) years or older who have demonstrated a sincere interest in furthering the purposes of this Club and who are not under sanction by any national/international kennel club. ii) Family memberships, open to any persons who meet the eligibility requirements.

Section 2. PMCA Newsletter Subscription A subscription to the PMCA Newsletter shall be included with the membership.

Section 3. Membership A "Request for Membership" is to be submitted. Upon receipt of a completed "Request for Membership," future member shall be issued a copy of the By-laws, Constitution, Code of Ethics and an application which shall provide that the applicant agrees to abide by this Constitution and By-Laws, the Code of Ethics. The application shall state the name and address of the applicant. Accompanying the application, the prospective member shall submit dues payment for the current year.

Section 4. Termination of Membership The P.M.C.A. is a pure democracy with no hierarchy. All decisions shall be judged by plebiscite vote. All members are considered equal and majority vote rules. A membership may be terminated by expulsion or due to a continuance of unpaid dues.

Section 5. Standing Members are in good standing if they are a) current in payment of dues fees and not under any other financial obligation to the PMCA. b) not under sanction by the PMCA or any other recognized national/international kennel club.


ARTICLE III: MEETINGS

Section 1. Annual Meeting and Show

a) The Annual Meeting of the Club shall be held not longer than 18 months and not sooner than 6 months after the date of the last annual meeting. The meeting shall be held in conjunction with Specialty Show, if possible; at a place, date and time designated.

b) Written notice of the Annual Meeting shall be mailed to each member at least ninety (90) days prior to the date of the meeting.

c) The quorum for the Annual Meeting shall be 10% of the members in good standing. * Conference telephone calls can be utilized when appropriate and a designated chat room might be utilized as well.


ARTICLE IV: DISSOLUTION

Section 1. The Club will not be dissolved in any way shape or form. It will remain in the custody of Karin Graefe unless she appoints it to a said person or board Before a board will be appointed ­ all club-related debt incurred by the president shall be paid to a zero balance.
